A retainer invoice bills a client a fixed monthly fee for an agreed scope of work, usually in advance at the start of the month. A good one states the retainer period, the scope covered, the fixed fee, any overage separately, and the payment due date, plus the correct GST treatment. For agencies with foreign clients, the invoice date also decides which month's EDF the retainer goes on.
Key takeaways
- State the period (for example, "Retainer for November 2026") and the scope in a line or two, so the invoice stands on its own.
- Bill overages and one-off extras as separate line items or separate invoices, not hidden inside the retainer.
- Decide advance or arrears billing once, write it into the contract, and stay consistent.
- For export clients, use LUT wording if you export under LUT, and remember the invoice date decides the EDF month.
- If a retainer is reduced or cancelled after invoicing, issue a credit note rather than editing the invoice.
Advance or arrears?
| Billing in advance | Billing in arrears | |
|---|---|---|
| Invoice date | Start of the retainer month | End of the retainer month (or early next month) |
| Cash flow | Better for the agency | Better for the client |
| Risk | Low; you are paid before you work | Higher; you work before you bill |
| Common with | Established agencies, stable scopes | New relationships, variable scopes |
| Overage handling | Bill overage next month in arrears | Add overage to the same invoice |
Most agencies prefer advance billing for the retainer and arrears billing for overages. Whatever you choose, describe it in the contract so the client's finance team is not surprised.
What a retainer invoice should contain
On top of the standard invoice fields (your name, address, GSTIN, client details, invoice number and date), a retainer invoice benefits from:
- Retainer period: "Retainer fee for 1–30 November 2026".
- Scope summary: "Social media management for 3 platforms: up to 20 posts, community management, monthly report".
- Fixed fee as a single line.
- Overage as a separate line, with hours or units and rate: "Additional 6 design hours @ USD 45".
- Pass-through costs, if any, clearly labelled. Settle GST treatment of these with your CA.
- SAC code, for example 998361 for advertising services, confirmed with your CA.
- Payment terms: "Due within 7 days" or "Due on receipt".
- Contract reference: the master agreement or SOW number.
For domestic clients, add GST at the applicable rate. Our GST invoice generator handles CGST/SGST or IGST automatically.
Retainers for foreign clients
Export retainers follow the same structure with a few additions:
- Currency shown with its ISO code (USD, GBP, AUD).
- LUT wording if you export under LUT: "Supply meant for export under LUT without payment of IGST".
- Bank details with SWIFT code for the account where you want the money to land.
- Client's full legal name and country, as on their banking records.
Our export invoice tool covers these fields.
How retainers fit the EDF
Each export invoice is a row in Part 2B of the EDF for the month of the invoice date. That matters for advance billing:
- A November retainer invoiced on 1 November goes on the November EDF, due 30 December 2026.
- A November retainer invoiced in arrears on 30 November also goes on the November EDF.
- A November retainer invoiced in arrears on 2 December goes on the December EDF, due 30 January 2027.
If the client pays the retainer in advance before you file, you can indicate in Part 4 of the EDF that the value has been received. Read one EDF per month for how multiple retainer clients go on a single form.
Worked example: Saffron Thread Creative
Saffron Thread Creative LLP in Jaipur has three retainer clients: two in India and one in the UK. It bills retainers on the 1st of each month in advance and overages at month-end in arrears.
On 1 November 2026, it raises:
| Invoice | Client | Line items | Tax | Total |
|---|---|---|---|---|
| STC/26/301 | Delhi D2C brand | Retainer, November: ₹85,000 | IGST 18%: ₹15,300 | ₹1,00,300 |
| STC/26/302 | Jaipur hotel | Retainer, November: ₹60,000 | CGST 9% + SGST 9%: ₹10,800 | ₹70,800 |
| STC/EX/26/41 | London jewellery brand | Retainer, November: GBP 2,500 | Under LUT, no IGST | GBP 2,500 |
On 30 November, it raises an overage invoice to the London brand for 10 extra design hours at GBP 50: GBP 500.
The Delhi brand is in another state, so IGST applies; the Jaipur hotel is in the same state, so CGST and SGST. The UK invoices are exports under LUT.
Both UK invoices are dated in November, so both go on the November EDF as two rows, due 30 December 2026. At an illustrative ₹110 per pound, the rupee total for the EDF is ₹2,75,000 + ₹55,000 = ₹3,30,000.
Handling changes and cancellations
- Scope reduced mid-month: issue a credit note for the reduction, referencing the original invoice. Do not edit or delete the original. Our credit note tool has a GST-compliant format.
- Retainer paused: stop invoicing from the next month; note the pause in your contract file.
- Client cancels after paying in advance: agree whether to refund or credit against future work. For export clients, a refund is an outward remittance; tell your bank and keep the credit note.
- Price increase: change it from the first invoice of a new month, with written notice to the client.
For export retainers, any credit note issued before you file the EDF should be reflected in that month's net realisable value. If issued after filing, tell your bank.
Tips that keep retainers clean
- Use the same invoice day every month. Predictable for the client, simple for your EDF.
- Name the month on the invoice. "Retainer fee" alone causes confusion when two months are paid together.
- Keep a scope sheet. When the client asks why there is an overage, you can point to the agreed scope.
- Ask clients to quote the invoice number when they pay. It helps match receipts.
- Track unpaid retainers. Export invoices must be realised within 9 months of the invoice date.

Frequently asked questions
What is a retainer invoice?
It is an invoice for a fixed recurring fee covering an agreed scope of work for a set period, usually a month. Agencies commonly bill retainers in advance and bill extra work separately.
Should a retainer invoice be raised in advance or at month-end?
Either is acceptable if agreed with the client. Advance billing improves cash flow; arrears billing suits variable scopes. State the approach in your contract and stay consistent.
How is GST charged on a retainer for a foreign client?
If the service qualifies as an export and you have a valid LUT, invoice without IGST and add the wording "Supply meant for export under LUT without payment of IGST". Otherwise, discuss with your CA whether to charge IGST and claim a refund.
Which EDF does an advance retainer invoice go on?
The EDF for the month of the invoice date. A retainer invoiced on 1 November goes on the November EDF, due 30 December 2026.
How do I reduce a retainer after invoicing?
Issue a credit note referencing the original invoice. For export clients, reflect the credit in the EDF if you have not filed yet, or inform your bank if you already have.
Bottom line
A retainer invoice should be predictable: same day, clear period, clear scope, extras separate. Build yours with the export invoice generator and add export retainers to your monthly EDF as rows.
